Never let your temporary work agency's guarantee expire or fall out of adjustment

Every temporary services company (EST) keeps a permanent guarantee in favour of the Labour Directorate, put up before operating as a bank guarantee bond or similar instrument maturing no sooner than 120 days (Labour Code, Article 183-J). The amount is adjusted every twelve months by the number of temporary workers.

A Temporary Services Company (Empresa de Servicios Transitorios, EST) is a legal entity registered in the corresponding register whose sole corporate purpose is to place workers at the disposal of user companies for temporary or occasional tasks, together with the selection, training and development of workers and other related human-resources activities (Labour Code, Article 183-F, letter a). ESTs must be entered in a special public register kept by the Labour Directorate, and their company name must include the words "Empresa de Servicios Transitorios" or the acronym "EST" (Article 183-K). Immediately after registration and before starting to operate, the company must put up the guarantee (Article 183-K, last paragraph).

Every EST must put up a permanent guarantee in favour of the Labour Directorate. Its base amount is set by law in unidades de fomento and increases in bands according to the number of temporary workers employed above 100, 150 and 200 (Article 183-J, first paragraph). The amount is adjusted every twelve months, based on the number of temporary workers employed at that time (Article 183-J, second paragraph). The guarantee takes the form of a bank guarantee bond or another instrument of similar liquidity, in favour of the Labour Directorate, with a maturity of no less than 120 days, and is returned within 10 days of the new bond being presented (Article 183-J, fourth paragraph).

The guarantee covers, first, the EST's legal and contractual obligations to its temporary workers arising from services provided at user companies, and then fines imposed for breaches of the Code (Article 183-J, third paragraph). It is a ring-fenced fund excluded from creditors' general right of pledge (fifth paragraph). It may be called, after a resolution of the Labour Director, on the basis of a final judgment ordering payment of wages or social security contributions, a record signed before the Labour Inspector acknowledging such debt, or a final administrative resolution ordering payment of a fine (sixth paragraph). When the EST winds up, once compliance with labour and social security obligations is shown, the Labour Director returns it within six months (seventh paragraph). The Labour Directorate enforces these rules both at the places where services are provided and at the EST itself (Article 183-G).

The guarantee is permanent (Article 183-J, first paragraph): the EST must always hold a valid bond for the adjusted amount. There are two dates to watch separately: the maturity of the instrument and the anniversary of the annual adjustment of the amount.

Who is responsible?

The obligation rests on the Temporary Services Company itself (Article 183-J). The Labour Directorate enforces the rules on temporary services at the places where services are provided and at the EST (Article 183-G). In practice the EST's general or finance management coordinates the bond renewal with the bank and the calculation of the amount with the people team, which knows the number of temporary workers employed on the adjustment date.

If the deadline passes

Anyone acting as a Temporary Services Company without bringing its constitution and operation into line with the Code's requirements is fined, by a reasoned resolution of the Labour Director that can be challenged before the Labour Court within five days (Article 183-L). In addition, the Labour Director may order the cancellation of the registration for repeated and serious breaches of labour or social security law, with three or more sanctions within one year counting as repeated (Article 183-M).

Two deadlines in one document

Article 183-J sets both a minimum maturity for the bond, 120 days, and an adjustment of the amount every twelve months based on the temporary workers employed at that time. A short-dated bond demands frequent renewals; a long-dated one may be left with an insufficient amount when headcount grows. Record the maturity of the instrument and, as a separate record, the date of the next annual adjustment.
