Terms of Service

Last updated 2026-09-27

These Terms of Service ("Terms") are a binding agreement between Newempo LLC, 30 N Gould St #40045, Sheridan, WY 82801, USA ("ExpirySuite", "we") and the customer ("you"). By creating an account or using expirysuite.com or the ExpirySuite application (the "Service"), you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.

1. The Service

ExpirySuite provides tools to manage documents and their renewal: you can record documents and their expiry dates, receive reminders before those dates, define which documents your records require, request documents from other people through upload links, review and approve what they submit, assign responsibility, and see statuses and reports based on that information. The Service is a document management, reminder, and record-keeping tool. It does not provide legal, immigration, tax, or compliance advice, and it does not renew documents or interact with any authority on your behalf. You remain solely responsible for renewing documents and for meeting all legal and regulatory obligations. We do not warrant that any particular reminder or document request email will be generated, delivered, or received. Compliance statuses are operational, not legal. Statuses such as "compliant", "valid", "missing", "expiring", "expired" or "review required", compliance percentages, and reports are calculated from the requirements you configure, the documents and dates stored in the Service, and their review state. They are not a legal determination or certification of compliance with any law or regulation. We do not warrant that your requirements are legally complete, that any document satisfies a legal or regulatory requirement, or that using the Service makes you compliant; you are responsible for deciding which requirements apply to you. Where the Service reads an uploaded document to suggest a document type or dates, the suggestions are generated automatically and may be inaccurate. They are not saved until a person keeps or edits them, and you are responsible for checking them.

2. Accounts and eligibility

You must provide a valid email address and keep your account secure. You are responsible for all activity under your account and for your team members' use. The Service is intended for users aged 18 or older acting in a business capacity.

3. Your data and responsibilities

You retain ownership of the data you enter ("Customer Data"). You are responsible for its accuracy, for having a lawful basis to store personal data about third parties (such as employees), and for informing those individuals as required by law. You must not upload unlawful content or data you are not permitted to process. If you send a document request, you are responsible for having a lawful basis to contact the recipient and collect the document, and for reviewing what is submitted before you approve it. Our handling of personal data in Customer Data is governed by our Data Processing Agreement.

4. Acceptable use

You agree not to: misuse or disrupt the Service; attempt to gain unauthorized access; reverse engineer or resell the Service except as permitted; upload malware; or use the Service to violate any law or third-party right. We may suspend accounts that pose a security or legal risk.

5. Plans, billing, and taxes

Paid plans are sold through Stripe, which acts as the Merchant of Record and reseller for your purchase; Stripe's end-customer terms also apply to the transaction, and applicable taxes (VAT/GST/sales tax) are calculated, collected, and remitted by Stripe. Fees are billed in advance on a recurring basis and are non-refundable except where required by law or expressly stated. We may change prices with reasonable notice effective at your next renewal.

6. Automatic renewal, trials, and cancellation

YOUR SUBSCRIPTION RENEWS AUTOMATICALLY. Paid plans are subscriptions with a recurring charge. You choose a monthly or a yearly billing period when you subscribe. Unless you cancel, your plan renews at the end of each billing period — every month for monthly plans and every year for yearly plans — and the then-current fee for your plan and billing period (currently, plus any applicable tax: Pro USD 19 per month or USD 190 per year; Business USD 49 per month or USD 490 per year) is charged to your payment method automatically, with no further action by you. Renewal continues until you cancel. FREE TRIALS BECOME PAID SUBSCRIPTIONS. Where a free trial is offered, it lasts 14 days, it is available once per person and once per workspace, a payment method is required to start it, and it converts into a paid subscription at the end of the trial unless you cancel before the trial ends. You will be charged the first subscription fee on the day the trial ends. HOW TO CANCEL. You may cancel at any time, online and without contacting us, from Plans & billing in your account, which opens the subscription management page in one click. Cancellation is effective at the end of the period you have already paid for: your plan stays active until that date and is not renewed afterwards, and your account then returns to the Free plan. Your billing page shows the exact date your plan renews or ends. You may also cancel through the purchase receipt sent to you by Stripe. We do not require a phone call, a form, or a retention conversation to cancel. Cancelling or downgrading may reduce available features and limits. For when a charge can be refunded, see our Refund Policy.

7. Availability

We aim to keep the Service available but provide it "as is" and "as available" without uptime guarantees. We may modify, suspend, or discontinue features, and will give reasonable notice of material adverse changes where practicable.

8. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by Newempo LLC and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You grant us the limited rights needed to host and process Customer Data to provide the Service.

9. Copyright complaints

If you believe material stored in the Service infringes your copyright, send a notice to [email protected] identifying the copyrighted work, the material you say is infringing and where it is located, your contact details, a statement that you have a good-faith belief the use is not authorized, and a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act for the owner. We remove or disable material in response to valid notices and terminate repeat infringers. Because files in the Service are private to each organization and are not published, this process applies only to material we are able to identify from your notice.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, Newempo LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT ANY PARTICULAR REMINDER WILL BE GENERATED, DELIVERED, OR RECEIVED, OR THAT USE OF THE SERVICE WILL PREVENT ANY MISSED DEADLINE, EXPIRY, PENALTY, FINE, OR LOSS. THE SERVICE IS A DOCUMENT MANAGEMENT, REMINDER, AND RECORD-KEEPING TOOL. THE COMPLIANCE STATUSES AND REPORTS IT DISPLAYS ARE OPERATIONAL INDICATORS, NOT A LEGAL DETERMINATION, AND ARE NOT A SUBSTITUTE FOR YOUR OWN COMPLIANCE PROCESSES OR PROFESSIONAL ADVICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Newempo LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, MISSED DEADLINES, EXPIRED DOCUMENTS, FINES, OR PENALTIES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) USD 100. THESE LIMITATIONS APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE, AND THEY ALLOCATE THE RISK BETWEEN US IN EXCHANGE FOR THE FEES CHARGED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW, INCLUDING FOR FRAUD, WILLFUL MISCONDUCT, OR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE.

12. Indemnification

You will indemnify and hold harmless Newempo LLC from claims arising out of your Customer Data, your use of the Service in breach of these Terms, or your violation of law or third-party rights.

13. Term and termination

These Terms apply while you use the Service. Either party may terminate for material breach not cured within 30 days of notice. On termination, your right to use the Service ends and Customer Data is deleted as described in the Privacy Policy and DPA. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — survive.

14. Electronic communications and notices

You consent to receive communications from us electronically, including by email and through the Service, and you agree that electronic communications, agreements, and records satisfy any legal requirement that they be in writing. You consent to the use of electronic signatures and agree that your acceptance of these Terms and your consent to a subscription have the same effect as a handwritten signature. Because the Service signs you in by emailed link (or through Google or Microsoft) and sends reminders by email, you must keep a working email address on your account; notices we send to that address are treated as received. You may withdraw consent to electronic communications by closing your account, since the Service cannot be provided without them. Notices to us go to [email protected] or to Newempo LLC, 30 N Gould St #40045, Sheridan, WY 82801, USA.

15. Changes to these Terms

We may update these Terms; material changes will be posted with a new "last updated" date and, where appropriate, notified in the Service. Continued use after changes take effect constitutes acceptance. Changes that affect the price or the renewal terms of an existing subscription take effect at your next renewal and only after notice to you.

16. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and both parties consent to personal jurisdiction and venue there, except that either party may seek injunctive relief in any court of competent jurisdiction. TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL. Any claim must be brought within one year after it arises, to the extent that limit is permitted by law. Nothing in this section removes mandatory consumer protections, or the right to bring a claim before a regulator or a court in your place of residence, where the law of your country or state gives you those rights and they cannot be waived by agreement.
